Mortlake police Senior Constable Paul McLean said the accident happened about 6am four kilometres from Mortlake on the Hopkins Highway.
He said a Holden Commodore sedan was heading north on the Hopkins Highway just north of the intersection of Fosters Lane when the driver lost control on a left-hand bend.
The sedan veered off the road and struck a tree.
The 19-year-old male passenger was able to get out of the car, but the 27-year-old woman had to be assisted from the vehicle by State Emergency Service volunteers and Country Fire Authority crews.
"The female driver was flown to the Alfred Hospital with suspected neck and spinal injuries in a stable condition," Senior Constable McLean said.
"There was significant impact to the driver's side and the vehicle will be an insurance write-off. The two people in the car were both from Mortlake."
Senior Constable McLean said a witness told police officers that he was overtaken by the Holden sedan not long before the accident.
"The witness said the sedan was going extremely quick and there will be investigations into whether speed and carelessness were contributing factors in the collision," he said.
"We're still working on those investigations but the witness, who had his cruise control set at 100km/h, said the Commodore flew past him like he was standing still."
Anyone with information about the accident, or who saw the vehicle before the collision, is requested to contact the Mortlake police station or Crime Stoppers on 1800 333 000.
