Warrnambool police Senior Constable Nick Roberts said a man was allegedly punched in the Warrnambool CBD before falling to the ground and losing consciousness.
A 25-year-old man has been interviewed, charged and bailed to appear in the Warrnambool Magistrates Court.
Senior Constable Roberts said the incident occurred about 3am near the Seanchai.
"We would ask that anyone who witnessed the incident contact the Warrnambool police station," Senior Constable Roberts said.
Ambulance Victoria spokesman John Mullen said the victim, a male in his 20s, was taken to South West Healthcare for further assessment after losing consciousness in the incident.
He said the man was in a stable condition.
