Police sources said Victoria Police major collision investigation unit members became involved as the passenger was in a critical condition after suffering head and pelvis injuries.
The woman in her 30s, with links to Terang, is understood to have been on life support on Saturday afternoon and was listed as being in a critical condition.
She is understood to no longer be on life support and by mid-afternoon Sunday her condition had improved to serious.
A blood sample has been taken from the driver, a Warrnambool man aged in his 30s, who is well known to police, and will be analysed.
The results of those tests are expected to determine if charges are laid.
Saturday: A WOMAN is in a critical condition in the Royal Melbourne Hospital after a single-vehicle crash near Port Fairy.
Sergeant David Walkley, of Port Fairy police, said the driver of an eastbound white Nissan Pulsar failed to navigate a left-sweeping bend on the Princes Highway about a kilometre west of the township around 3am on Saturday morning.
He said the vehicle crossed to the wrong side of the road, crashed into a fence, a power pole, and launched from an embankment, before coming to halt near a cypress tree.
"It has snapped the power pole off at the base and snapped it in half," Sergeant Walkley said.
An air ambulance flew a woman, believed to be in her 30s, to the Royal Melbourne Hospital in a critical condition with head and pelvis injuries.
Paramedics took the driver of the vehicle, a Warrnambool male in his 30s, to Warrnambool Base Hospital in a stable condition with abrasions to his arms and legs.
A Royal Melbourne Hospital spokeswoman said the woman remained in a critical condition on Saturday afternoon.
Victoria Police's major collision investigation unit was due to attend the scene on Saturday afternoon.
Sergeant Walkley said police were yet to determine why the vehicle left the road.
"Its frustrating with all our efforts to reduce the road toll another serious collision has occurred," he said.
