The driver of the vehicle, a 66-year-old female, lost control on a windy section of the Port Fairy Hamilton Road.
She slid down and embankment and hit a tree.
Police said the couple was very fortunate to escape, given how damaged the car was.
The woman was cut free from the vehicle after about two hours and 45 minutes.
The passenger was freed shortly after.
Both were flown to Melbourne, where they are in a stable condition at The Alfred Hospital.
The driver suffered leg and arm injuries.
The road was closed for about six hours after the crash while the couple was freed and the road was cleared.
Police do not believe speed was a factor in the accident.
