Warrnambool police Sergeant Matthew Laxton said the incident happened at a Penshurst-Macarthur Road property near Macarthur about 7.30pm Sunday and police were notified about 8.30pm.
It's understood the tractor was towing a slasher, the tractor rolled over and became fully submerged in a creek, leading to the man's death.

Victoria Police search and rescue squad members attended the accident scene.
WorkSafe has been notified and its officers and police will conduct an investigation.
