A Warrnambool Base Hospital spokesperson said the man would be airlifted to Melbourne for treatment later tonight.
Another 53-year-old man who received facial lacerations in the alleged assault is in a stable condition.
EARLIER: One man suffered serious stab wounds to his stomach and another suffered facial lacerations in an alleged serious assault in Flaxman Street, east Warrnambool on Monday night.
Detective Sergeant Jason Dance of Warrnambool police said another man was found by police shortly after the incident following a police search of the area around Flaxman Street.
Detective Sergeant Dance said the man was currently helping police with their enquiries.
He said seven police units were involved in the search for the man after the incident.
The incident was reported about 5.45pm and police combed the area around Flaxman Street including Ward Street before the man was located.
A Victoria Police spokesperson said all three men were known to each other.
The spokesperson said the man who received stomach wounds was 30 years of age while the man who suffered facial lacerations was 53 years old.
Both men were taken to hospital for treatment.
Police have taped off a house in Flaxman Street while they continue their investigations.
