Two men were in the boat when it overturned about five kilometres from shore around 5.30pm.
The men are believed to have been a father, aged in his 60s, and his son.
The son managed to swim to shore and raise the alarm.
A body, believed to be that of his father, was discovered about 1.45am on Sunday approximately three kilometres east of where the boat overturned.
A police media spokesperson said the man was yet to be formally identified but was “believed to be the man who went missing after his boat overturned yesterday afternoon”.
The men’s vessel was located and secured by Coast Guard.
An extensive sea search was conducted by the Coast Guard and the HEMS 4 helicopter.
Police and paramedics also attended the scene.
Ambulance Victoria spokesman John Mullens said officers were called to Codrington at 5.34pm.
He said ambulance officers had assessed the man who swam to shore and said he had been taken to Warrnambool Base Hospital for further assessment and treatment.
Police will now prepare a report for the Coroner.
