Areas likely to be affected include the South West, North Central, Central and North East forecast districts and parts of the Northern Country, Wimmera and West and South Gippsland forecast districts.
The Bureau of Meteorology says there is a high risk of losing lambs and sheep exposed to the icy conditions.
