The men were arrested near popular Port Fairy surf spot The Passage on Tuesday night .
Fisheries allege the men had a large quantity of abalone - both shucked and in shell.
It is also alleged that a large percentage of the abalone were undersize.
The men were taken to Warrnambool police station by Port Fairy police and interviewed by Fisheries officers.
The abalone, their vehicle and dive equipment were seized by Fisheries officers.
The men were released and will be charged on summons.
