Leading senior constable David Rook said the accident happened 12km west of Penshurst about 1pm.
He said the truck, carrying 68 tonnes of logs, came around a blind bend and was unable to avoid the sheep.
Leading Senior Constable Rook said the 40-year-old Colac driver had only 50 metres to react.
“He’s come around a blind corner and there was grass at waist height on both sides,” he said.
“It would have been impossible to pull up.”
He said about eight sheep had to be put down and the rest were killed instantly.
“The farmer was understandably upset. The driver is helping us with our inquiries but we don’t expect there will be charges laid.”
There was no damage to the truck.
