She was a friend of the 15-year-old driver and had been staying over the weekend.
The driver lost control on a dirt road and hit a power pole.
The teenagers both attended Hamilton's Monivae College.
Sunday, 4pm: ONE person is dead after a ute slammed into a power pole near Penshurst on Sunday afternoon.
A police media spokesperson said that about 1.30pm an unregistered utility was travelling south along Mackichan Lane when it lost control and struck a pole on the west side of the road about 1.30pm.
The passenger is understood to have died at the scene.
No details about the deceased have been released by police.
The police media spokesperson said the driver was a 15-year-old Penshurst girl.
The 15-year-old has been flown to the Royal Children’s Hospital in Melbourne with head and back injuries, an Ambulance Victoria spokesperson said.
The girl’s injuries have been described as non-life threatening.
Major collision investigation unit detectives from Melbourne were on their way to the scene on Sunday afternoon, as police continue to look into the circumstances of the crash.

The road death is the 123rd this year, up on 105 at the same time last year.
It is the second fatality in Southern Grampians Shire this year. At the same time last year, there had been no road fatalities in the shire.
It is the eighth road death in the south-west this year and comes just three days after a Portland driver was killed when his car lost control and crashed into a fence near Mount Richmond.
